Terms & Conditions

These Terms & Conditions govern business relations between Gajcom d.o.o. and business customers ordering textiles, promotional products, printing, embroidery, personalisation and other related services.

The Gajcom.si website and online shop are intended for business, professional, gainful and organisational orders. They are not intended for purchases made for personal, family or household purposes.

2. Scope and business customer

These Terms & Conditions apply to orders placed through the online shop, by email, telephone, quotation, in person or by another agreed method.

A business customer is a legal entity, sole trader, association, institution, organisation or natural person placing an order within the scope of their business, professional, gainful or organisational activity.

A VAT identification number is not required in order to qualify as a business customer. The decisive factor is the purpose for which the order is placed.

By placing an order, the customer confirms that the order is not being placed as a consumer for personal, family or household purposes. If mandatory provisions of consumer law nevertheless apply to a particular relationship, those provisions take precedence over any conflicting provisions of these Terms & Conditions.

3. Validity of the Terms & Conditions

These Terms & Conditions form an integral part of the quotation, order confirmation and contractual relationship between Gajcom and the customer.

If a provision of a quotation, order confirmation, specification or another written agreement differs from these Terms & Conditions, the explicit written agreement takes precedence for the relevant order.

The Terms & Conditions in force at the time of written order confirmation apply throughout the performance of that order.

4. Placing an order and conclusion of the contract

The presentation of products, prices and personalisation options on the website is for information purposes and constitutes an invitation to the customer to submit an order or enquiry.

An automated electronic message confirming receipt of an order does not mean that Gajcom has accepted the order.

The contract is concluded when Gajcom confirms the order, quotation or commencement of the work in writing. Written confirmation may be sent by email or through another agreed communication channel.

Before confirming an order, Gajcom may request additional information about the customer, purpose of the order, products, quantities, artwork, personalisation method, payment or delivery.

Gajcom may reject an order if the products are unavailable, if the order cannot be carried out technically or safely, if there are reasonable concerns regarding payment or the purpose of the order, or for another justified business reason.

5. Product information and availability

Information about products, colours, sizes, stock and availability is provided for information purposes. Final availability is confirmed when the order is processed or the quotation is prepared.

If an ordered product cannot be supplied, Gajcom may offer the customer a comparable replacement product, a different delivery date or cancellation of the relevant part of the order.

Photographs, colour displays and artwork visualisations are indicative. Colour appearance may depend on the screen, lighting, material, textile production batch and personalisation technique used.

Measurements of textiles and other products may vary within the manufacturer's tolerances. Where an exact colour, measurement, material or fit is particularly important, the customer must state this before confirming the order.

At the customer's request, Gajcom may recommend inspection, a sample or another method of checking the product before a larger order is placed. The costs of samples, delivery and preparation are agreed before the work is carried out.

6. Prices and VAT

All displayed prices exclude VAT unless expressly stated otherwise. VAT is charged in accordance with the applicable regulations.

The product price does not necessarily include printing, embroidery, artwork preparation, production of printing tools, embroidery digitisation, packaging, delivery or other additional services unless expressly stated.

The final price and scope of services are specified in the quotation, order confirmation or order summary.

Obvious typographical, calculation or system errors in displayed prices are not binding on Gajcom. In such a case, Gajcom informs the customer and allows the customer to confirm the order at the correct price or cancel it.

7. Payment

Available payment methods are displayed during checkout or specified in the quotation or order confirmation.

Online card payments may be processed through the external payment service provider Stripe using supported payment cards, including Visa and Mastercard.

The terms and rules of the external payment service provider may also apply to the processing of the payment.

Gajcom may make the commencement of procurement, production or personalisation conditional on receipt of the agreed payment, advance payment or another agreed payment security.

8. Artwork files and customer content

The customer must provide accurate and technically suitable artwork files, logos, text, colour requirements and other instructions required to carry out the order within the agreed time.

The customer is responsible for the accuracy of names, text, numbers, contact details, dimensions, colour references and other content provided to Gajcom.

The customer warrants that they hold all rights, permissions and consents required to use the supplied logos, trademarks, photographs, illustrations, text and other content.

Gajcom may refuse to produce content that may infringe third-party rights, applicable regulations or accepted business standards.

9. Artwork proof and approval of production

Where Gajcom sends the customer an artwork proof, visualisation, layout or another preview, the customer must check it carefully before production begins.

By providing written approval, the customer confirms the accuracy of the content, layout, approximate size, selected product, personalisation position and other visible elements of the proof.

Gajcom is not responsible for errors in text, artwork or other elements that were clearly shown in the proof and approved in writing by the customer.

A screen preview does not guarantee complete colour identity with the finished product. Special colour requirements must be agreed in writing before production begins.

10. Production and delivery times

The estimated production or delivery time is stated in the quotation, order confirmation or subsequent written notification.

The period begins once all agreed conditions have been met, particularly after written order confirmation, receipt of suitable files, approval of the artwork proof and receipt of the agreed payment.

If the customer is late in providing information, files, approval or payment, the production or delivery time is extended accordingly.

A deadline is binding only where it has been expressly confirmed as such in writing. Gajcom informs the customer of any significant change to the estimated deadline without undue delay.

11. Delivery and collection

An order may be collected in person from the agreed location or delivered by a selected delivery or logistics partner.

The method, cost and estimated delivery time depend on the address, size, weight, type and other characteristics of the shipment and are confirmed with the order.

Upon delivery, the customer must check the number of packages and the visible condition of the packaging. Visible damage to the packaging should be recorded with the carrier and photographed before the package is opened.

The customer must provide an accurate and accessible delivery address and ensure that an authorised person is available to accept the shipment.

12. Order cancellation

The customer may cancel an order without charge until Gajcom confirms the order in writing, unless Gajcom has already commenced agreed activities at the customer's express request.

After written order confirmation, cancellation is possible only with Gajcom's prior written consent.

If Gajcom has already ordered the goods, prepared artwork, produced printing tools, prepared an embroidery programme or commenced printing, embroidery or another form of personalisation, Gajcom may refuse cancellation or make it conditional on reimbursement of all costs incurred and work performed.

Once personalisation has started, the order cannot be cancelled without Gajcom's express written consent.

13. Return of correctly supplied goods

Gajcom is not obliged to accept the return of correctly supplied and defect-free goods.

A return is possible only if Gajcom approves it in writing in advance and provides the customer with return instructions.

For every exceptionally approved return of defect-free goods, the customer is credited with 70% of the net value actually charged for the goods. Gajcom retains 30% of the value to cover return processing, handling, restocking and other related costs.

The original delivery costs, return delivery costs, payment service fees, artwork preparation, printing tools, printing, embroidery, personalisation and other services already performed are not refundable.

Returned goods must be unused, unwashed, undamaged and free from odours, stains or other alterations, and must remain in a condition suitable for resale.

Personalised, printed, embroidered, labelled, washed, used or otherwise altered goods cannot be returned, except where there is a justified complaint relating to a defect for which Gajcom is responsible.

14. Inspection of goods and complaints

The customer must inspect the goods immediately or within the shortest reasonably possible time after receipt.

Visible defects, incorrect products, quantity discrepancies and visible damage must be reported without undue delay and no later than eight days after receipt.

A hidden defect must be reported without undue delay after discovery and no later than eight days from the date on which it was discovered.

A complaint must include at least the order or invoice number, product reference, quantity, a clear description of the defect and suitable photographs or other supporting evidence.

Goods subject to a complaint must not be returned without Gajcom's prior instructions. Gajcom may request an inspection of the goods or additional evidence before reaching a decision.

If the complaint is justified, the solution is determined according to the nature of the defect, the possibility of remedy, the agreed specification and applicable law. The solution may include repair, replacement, completion of the quantity, reproduction, a price reduction or refund of the appropriate part of the payment.

A variation is not considered a defect if it was disclosed to the customer in advance, falls within agreed or manufacturer tolerances, or results from the properties of the selected material, approved artwork proof or incorrect instructions provided by the customer.

15. Use and care of products

The customer must follow the manufacturer's instructions and any additional Gajcom instructions concerning washing, drying, ironing, use, storage and care of the products.

Gajcom is not responsible for damage or deterioration caused by improper washing, drying, ironing, dry cleaning, mechanical damage, unsuitable storage, normal wear or use contrary to the instructions.

16. Warranty

A warranty applies only where expressly stated with the product, in the quotation, warranty document or manufacturer's documentation.

The conditions, duration and procedure for making a warranty claim are determined in accordance with the warranty conditions applicable to the specific product or manufacturer.

17. Customer responsibility

The customer is responsible for the accuracy of the information, instructions, quantities, sizes, addresses, artwork, usage rights and other information on the basis of which Gajcom prepares or fulfils the order.

If incorrect, incomplete or late information causes additional costs or delays, those costs or delays are borne by the customer.

18. Gajcom's liability

Gajcom is responsible for fulfilling the order in accordance with the confirmed quotation, specification, artwork proof and applicable regulations.

Gajcom is not responsible for delay or inability to perform caused by incorrect customer instructions, customer delay, unavailability of materials, actions of the carrier, information system failure or other circumstances that Gajcom could not have prevented despite exercising reasonable care.

Any limitations of liability do not apply where liability cannot be limited or excluded under applicable law.

19. Force majeure

Neither party is responsible for delay or non-performance caused by events beyond its reasonable control, including natural disasters, fire, epidemics, war, strikes, transport disruption, power failure, supply-chain disruption or measures imposed by competent authorities.

The party affected by such an event must inform the other party within a reasonable time. Deadlines are extended for the duration of the circumstances and their direct consequences.

20. Personal data protection

Gajcom processes personal data in accordance with applicable legislation and its Privacy Policy .

21. Communication

The customer agrees that communication relating to quotations, orders, artwork proofs, payments, delivery and complaints may take place by email or through other agreed electronic communication channels.

The customer must notify Gajcom of any change to their contact details. Gajcom is not responsible for consequences resulting from inaccurate or non-functioning contact details supplied by the customer.

22. Dispute resolution and governing law

The parties will endeavour to resolve any disagreement amicably before commencing legal proceedings.

The contractual relationship is governed by the law of the Republic of Slovenia.

Any dispute that cannot be resolved amicably is subject to the jurisdiction of the court of competent jurisdiction in Ljubljana, unless mandatory law provides otherwise.

23. Changes to the Terms & Conditions

Gajcom may update these Terms & Conditions from time to time due to changes in legislation, business processes, product and service offerings or the technical environment.

A new version applies to orders confirmed after its publication. Orders already confirmed remain subject to the version that applied when the order was confirmed, unless the parties agree otherwise in writing.
